Buyer Appetite and Deal Momentum: What We're Seeing in Today's Market
From our conversations with private equity sponsors, family offices, and strategic acquirers, the picture is consistent: qualified buyers are actively looking, capital is available, and the businesses that come to market well-prepared are closing at strong valuations.
On the Ground in the Middle Market
At TEG Capital Advisors, we spend a significant amount of time talking to buyers — private equity firms, family offices, and corporate development teams at strategic acquirers. These conversations give us a real-time read on where the market is and what buyers are actually looking for.
The picture we're seeing today is an encouraging one for business owners.
Private Equity Is Actively Deploying
After a period of relative caution, private equity sponsors are back in the market with conviction. Fund timelines are pressing, and firms that raised capital in 2021 and 2022 need to put that money to work. The result is a buyer community that is motivated and competitive.
What's particularly notable is the breadth of interest. It's not just the largest PE firms chasing the biggest deals. Mid-market and lower-middle-market sponsors — the firms that focus on businesses in the $10M to $100M revenue range — are among the most active buyers we're seeing. These firms bring operational expertise, sector knowledge, and the ability to move quickly when they find the right business.
Family Offices Have Become a Meaningful Force
One of the more significant shifts in the middle market over the past several years is the rise of family offices as direct acquirers. These are investment vehicles for high-net-worth families, and many of them have moved beyond public markets and into direct business ownership.
Family offices often bring a different set of priorities than PE sponsors. They typically have longer investment horizons, less pressure to flip businesses quickly, and a genuine interest in preserving the culture and legacy that owners have built. For sellers who care about what happens to their business after closing, family office buyers can be an excellent fit.
Strategics Are Making Acquisitions a Priority
Corporate acquirers — larger companies buying businesses in adjacent markets — have returned to the table with real urgency. After years of internal focus, many companies are now in growth mode and looking to acquisitions to accelerate that growth.
For sellers, strategic buyers often represent the highest potential valuation, because they can underwrite synergies that a financial buyer cannot. When a strategic acquirer can see how your customer relationships, technology, or team fits into their existing business, they can justify paying a premium.
What Buyers Are Looking For
Across all buyer types, we're seeing consistent themes in what drives the strongest interest and the highest valuations:
Recurring or repeatable revenue. Businesses with subscription models, long-term contracts, or strong customer retention are commanding premium multiples. Predictability is valuable.
Management depth. Buyers want to know the business can operate without the founder. If you have a capable leadership team in place, that's a significant value driver.
Clean financials. Buyers move faster and pay more when the financial story is clear and well-documented. Messy books slow deals down and create uncertainty that buyers price in.
Growth trajectory. Businesses that can show consistent growth over the past two to three years — and a credible path to continued growth — are the ones generating the most competitive processes.
The Businesses That Are Closing Well
The deals we're seeing close at the strongest valuations share a common thread: they came to market well-prepared, with a compelling story, and they ran a competitive process that created genuine tension among buyers.
That's not an accident. It's the result of thoughtful preparation, experienced representation, and a process designed to surface the best possible outcome. The market is providing the opportunity. The question is whether you're positioned to take advantage of it.
